  • What is a wholesale investor?

In New Zealand, the Financial Markets Conduct Act 2013 (FMC Act) provides a legal framework for promoting fair, efficient, and transparent financial markets. Under this Act, a "wholesale investor" is defined in several ways, with specific criteria determining who can be considered as such.

According to the Financial Markets Conduct Act 2013, an individual or entity can be categorized as a wholesale investor based on the following criteria:

Such individuals need to sign a certificate, and an independent adviser must confirm that the implications of being an eligible investor have been explained to them.

Associated Person: Being an associated person (as defined in the Act) of an offeror or issuer.

Professional Investor: Someone whose principal business is investment, or who in the course of, and for the purposes of, their business habitually invests money.
